The Customer shall indemnify and hold harmless the Supplier from and against any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with any third-party claim that the Customer’s use of the Services in breach of these Terms infringes the intellectual property rights of that third party, provided that the Supplier promptly notifies the Customer of the claim and allows the Customer reasonable control over the defence and settlement of the claim.

Living Promotions (Pty) Ltd shall indemnify and hold harmless the Customer from and against any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with any third-party claim that the Services, when used in accordance with these Terms, infringe the intellectual property rights of that third party, subject to the Customer promptly notifying the Supplier of the claim and allowing the Supplier reasonable control over the defence and settlement of the claim.

15. Termination and Effects of Termination

Either party may terminate these Terms with immediate effect by giving written notice to the other party if the other party commits a material breach of these Terms and, where such breach is capable of remedy, fails to remedy that breach within a period of 7 day(s) after being notified to do so, or if the other party becomes insolvent, enters into liquidation, has a receiver or administrator appointed, ceases or threatens to cease carrying on business, or is otherwise unable to pay its debts as they fall due.

Either party may also terminate these Terms for convenience by giving 7 day(s) written notice to the other party.

Upon termination, each party shall immediately cease exercising any rights granted to it under these Terms. Any fees accrued but unpaid as at the date of termination shall become immediately due and payable, and no refunds shall be due unless expressly agreed in writing.

Termination shall not affect any rights, remedies, or obligations that have accrued prior to termination. Any provisions which by their nature are intended to survive termination, including provisions relating to liability, confidentiality, and governing law, shall remain in effect.

16. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, including any non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of South Africa, as selected by the parties through the Service.

Subject to any mandatory provisions of applicable law, the courts of South Africa shall have jurisdiction to hear and determine any dispute or claim arising out of or in connection with these Terms, including any non-contractual disputes or claims.

Nothing in this section shall limit or exclude any rights that a consumer may have to bring proceedings in a court of competent jurisdiction under applicable mandatory law.

17. Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be submitted to mediation.

The mediation shall be conducted in accordance with The mediation rules of the Arbitration Foundation of Southern Africa (AFSA) in force at the time the dispute is referred, or such other rules as the parties may agree in writing., at Pretoria, South Africa (or virtually, by agreement between the parties), and in English, unless otherwise agreed by the parties.

If the dispute is not resolved through mediation within 30 day(s), or if either party withdraws from the mediation, either party may thereafter refer the dispute to the courts of South Africa for final resolution.

18. Compliance with Laws

Each party shall comply with all laws, regulations, and legally binding requirements applicable to it in connection with the performance of its obligations under these Terms.

19. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms (other than payment obligations) to the extent that such failure or delay is caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, strikes or labour disputes, epidemics or pandemics, governmental actions, or failures of utilities or telecommunications networks.

The affected party shall use reasonable efforts to mitigate the effects of the force majeure event and to resume performance as soon as reasonably practicable.

20. Assignment

Where the Customer continues to use the Services after the effective date of the updated Terms, the Customer shall be deemed to have accepted the modified Terms. If the Customer does not agree to the changes, the Customer may terminate the Terms in accordance with the Termination section.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other competent authority, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, shall be deemed deleted.

Any such modification or deletion shall not affect the validity and enforceability of the remaining provisions of these Terms.

Notices shall be deemed received:

  • if delivered personally, at the time of delivery;
  • if sent by post, 2 business day(s) after posting; and
  • if sent by email, at the time of transmission, provided that no delivery failure notice is received.
